The client is responsible for providing complete and accurate project requirements, content, credentials, images, documents, approvals, and other necessary materials within the agreed timeline.

Any delay caused by incomplete requirements, delayed feedback, unavailable content, third-party approvals, or changes requested by the client may result in an extension of the delivery timeline and, where applicable, additional charges.

6. Fees and Payment

• Service fees will be specified in the applicable quotation, proposal, invoice, or agreement.
• The client must make payments according to the agreed payment schedule.
• Advance payments may be required before work begins.
• Applicable taxes, government charges, transaction fees, and third-party costs may be charged separately.
• Work, delivery, support, or access may be suspended if an invoice remains unpaid beyond the agreed due date.
• The final website, software, application, design, source files, or credentials may be delivered only after full payment, unless otherwise agreed in writing.

7. Taxes and Third-Party Charges

Domain registration, hosting, SSL certificates, premium themes, plugins, APIs, payment gateways, SMS services, email services, app-store fees, advertising budgets, licensed media, and other third-party expenses are not included unless specifically mentioned in the approved quotation or agreement.

8. Revisions and Change Requests

The number and scope of revisions will be governed by the approved quotation, proposal, or project agreement.

Requests that change the approved project scope, features, design, technology, integrations, content, or workflow may be treated as additional work. Such changes may require revised charges and an extended delivery timeline.

9. Delivery and Project Timelines

We make reasonable efforts to complete projects within the estimated timeline. However, delivery dates may change due to:

• Changes in project scope or requirements
• Delayed feedback or approval from the client
• Non-payment or delayed payment
• Technical or third-party service issues
• Force majeure events
• Circumstances beyond our reasonable control

Unless expressly guaranteed in writing, project timelines are reasonable estimates and not absolute guarantees.

10. Client Responsibilities

The client agrees to:

• Provide accurate requirements and authorised materials.
• Review deliverables and provide feedback within the agreed period.
• Ensure that supplied text, images, logos, videos, trademarks, and other materials do not violate third-party rights.
• Maintain appropriate backups after project handover.
• Keep login credentials, administrator passwords, API keys, and other access details confidential.
• Use delivered software, websites, and applications in compliance with applicable laws.
• Make all payments according to the agreed schedule.

11. Client-Supplied Content

The client represents that it owns or has obtained all necessary permissions for content supplied to us, including text, images, videos, logos, trademarks, databases, documents, software, and other materials. The client will be responsible for claims arising from unauthorised, unlawful, or infringing content supplied by the client.

12. Intellectual Property Rights

Unless otherwise agreed in writing:

• Gautam Tech retains ownership of its pre-existing code, frameworks, libraries, tools, processes, concepts, templates, and technical know-how.
• Ownership or usage rights for final project-specific deliverables will be transferred or licensed according to the applicable agreement and only after receipt of full payment.
• Third-party software, plugins, fonts, images, themes, APIs, and libraries remain subject to their respective licences.
• The client may not resell, redistribute, sublicense, reverse engineer, or claim ownership of third-party or Gautam Tech proprietary components unless expressly permitted.

13. Portfolio and Promotional Use

Unless confidentiality obligations or a written agreement provide otherwise, we may identify completed projects in our portfolio, presentations, case studies, social media pages, and promotional materials. We will not intentionally publish confidential client information.

14. Third-Party Products and Services

Our services may depend on third-party products such as hosting providers, domain registrars, payment gateways, APIs, plugins, social media platforms, advertising platforms, app stores, cloud services, or external software. We do not control and cannot guarantee the availability, security, pricing, performance, or policies of these third-party services.

15. Domain, Hosting and Account Services

Domain names, hosting accounts, email accounts, SSL certificates, and similar services are subject to renewal and third-party provider terms. The client is responsible for timely renewal unless a written maintenance agreement assigns this responsibility to Gautam Tech. We are not responsible for service interruption or data loss caused by expired services, non-payment, or third-party provider actions.

16. Support and Maintenance

Support, maintenance, updates, security monitoring, content changes, backups, and technical assistance after project delivery are included only when specifically mentioned in the quotation, warranty, or maintenance agreement. Additional support may be chargeable.

17. Testing and Acceptance

The client must review and test the delivered work within the acceptance period mentioned in the project agreement. Any issues should be reported with adequate details during that period. Continued use, publication, or failure to report material issues within the agreed period may be treated as acceptance of the deliverable.

18. Cancellation and Refunds

Cancellation and refund eligibility will depend on the applicable quotation, proposal, invoice, or project agreement.

• Advance payments may be non-refundable once project planning, design, development, research, or resource allocation has begun.
• Completed work, consumed resources, third-party purchases, taxes, transaction charges, domain fees, hosting fees, and licence fees are generally non-refundable.
• If a refund is approved, applicable deductions may be made for work already completed and expenses incurred.
• No refund will be provided merely because of a change in preference after approval of a design, feature, milestone, or final deliverable.

19. Suspension or Termination

We may suspend or terminate access to our website, services, support, or project work if:

• Payments remain overdue
• These Terms and Conditions are violated
• Our services are used for unlawful activities
• The client behaves in an abusive, fraudulent, or threatening manner
• Continuing the service creates a legal, security, or operational risk

Termination does not remove the client’s obligation to pay outstanding amounts for completed work, committed resources, or third-party expenses.

20. Website Content and Accuracy

We make reasonable efforts to keep website information accurate and current. However, we do not guarantee that every description, price, image, statistic, availability status, or other website detail will always be complete, accurate, or up to date. We may correct, modify, or remove content without prior notice.

21. Disclaimer of Warranties

The website and its content are provided on an “as available” basis. To the extent permitted by law, we do not guarantee uninterrupted operation, complete security, compatibility with every device, permanent availability, or specific commercial results. Any specific warranty applicable to a project must be stated in the relevant written agreement.

22. Digital Marketing and SEO Results

Search-engine rankings, website traffic, social media reach, advertising performance, leads, sales, and other marketing outcomes depend on multiple external factors. Unless expressly stated in writing, we do not guarantee any specific ranking, number of leads, revenue, reach, engagement, or business result.

23. Limitation of Liability

To the extent permitted by applicable law, Gautam Tech will not be liable for indirect, incidental, special, punitive, or consequential losses, including loss of:

• Profits or revenue
• Business opportunities
• Data or records
• Website traffic or search ranking
• Goodwill or reputation
• Access caused by third-party service interruption

Any liability relating to a paid service will be governed by the applicable project agreement and applicable law.

24. Indemnification

You agree to indemnify and hold Gautam Tech, its directors, employees, representatives, and service providers harmless from claims, losses, liabilities, damages, and reasonable expenses arising from your misuse of the website, violation of these terms, unlawful activities, or infringement caused by materials supplied by you.

25. Confidentiality

Each party should protect confidential business, technical, financial, and project information received from the other party. Confidential information may be disclosed where required by law or with the written permission of the relevant party.
